Agreement to Terms

By accessing or using Paperly Kenya ("Paperly," "we," "our," or "the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not use our Service.

Description of Service

Paperly is a free invoicing tool that allows users to create, manage, and share professional invoices, quotes, receipts, and other business documents for Kenyan businesses.

Key features include:

• Create invoices, quotes, proforma invoices, and receipts
• Add M-Pesa, bank, and other payment methods
• Share documents via WhatsApp, email, or PDF
• Choose from multiple professional themes
• Save documents with an account or create them as a guest

User Accounts

Guest Users

You may use Paperly without creating an account. Guest documents are stored temporarily and may be deleted from our servers after 30 days.

Registered Users

Creating an account allows you to:

• Save and access documents from any device
• Store client information for reuse
• Track document history
• Upload and reuse your business logo

Account Responsibilities

• Maintain the confidentiality of your password
• Accept responsibility for activity under your account
• Notify us immediately of unauthorized use
• Keep your information accurate and current

Acceptable Use

You May

• Create legitimate business documents
• Use Paperly for commercial purposes
• Share documents with your clients
• Export documents as PDF

You May Not

• Create fraudulent or misleading documents
• Impersonate another person or business
• Upload malicious code or viruses
• Attempt unauthorized access to our systems
• Use automated tools to scrape or download data
• Resell or redistribute our Service
• Use the Service for illegal activities
• Spam or send unsolicited communications

Intellectual Property

Your Content

You retain all rights to the content you create using Paperly, including invoices, quotes, and receipts. We do not claim ownership of your documents or business information.

Our Platform

Paperly's design, code, features, and branding are owned by Nuvana Studio. You may not copy, modify, distribute, or create derivative works based on the platform.

License to Use

By uploading content such as logos and business information, you grant us a limited license to store and display that content solely for providing the Service to you.

Data & Privacy

Your use of Paperly is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

Key points: guest documents are automatically deleted after 30 days, we never sell your data to third parties, you can delete your account and data at any time, and all data transmission is encrypted over HTTPS.

Service Availability

No Guarantee of Uptime

We strive to maintain a reliable service, but we do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, technical issues, outages, or force majeure events.

Service Modifications

We reserve the right to modify or discontinue features, change pricing if applicable, and update these Terms with notice where appropriate.

Limitation of Liability

IMPORTANT: Paperly is provided "as is" without warranties of any kind.

To the maximum extent permitted by law, Nuvana and Paperly shall not be liable for loss of data or documents, business losses or lost profits, errors in documents created using the Service, indirect or consequential damages, or reliance on information provided by the Service.

You are responsible for:

• Verifying accuracy of all documents before sending
• Keeping backup copies of important documents
• Ensuring compliance with tax and legal requirements

Termination

By You

You may stop using Paperly at any time. To delete your account and data, contact us or use the account deletion feature if available.

By Us

We may suspend or terminate your account if you violate these Terms, use the Service for fraudulent purposes, engage in abusive behavior, or have an inactive account for 2+ years.

Upon termination, your data will be deleted within 30 days unless we are required by law to retain it longer.

Governing Law

These Terms are governed by the laws of Kenya. Any disputes shall be resolved in Kenyan courts, subject to applicable jurisdiction.

Dispute Resolution

If you have a complaint or dispute:

1. Contact us at hello@paperly.co.ke
2. We will attempt to resolve the issue within 14 days
3. If unresolved, you may pursue legal remedies

Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated last updated date.

For significant changes, we will:

• Send email notification to registered users
• Provide 30 days notice before changes take effect
• Allow you to review changes before they apply

Continued use after changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
